Terms of Service

Effective Date: April 2026

1. Agreement to Terms By engaging AceBuddy for technical consultation, software development, or SaaS architecture services, you ("the Client") agree to be bound by these Terms of Service.

2. Scope of Services AceBuddy provides custom software engineering, nearshore development, and technical consulting. All project scopes, deliverables, and timelines will be explicitly defined in a formal Statement of Work (SOW) or project proposal prior to the commencement of engineering.

3. Payment Terms & "No Speculative Work" Policy AceBuddy is a professional engineering firm and operates strictly on compensated engagements.

  • No Free Work: We do not engage in speculative ("spec") work, unpaid coding trials, or uncompensated technical discovery phases. All architectural planning, consulting, and development require active, paid agreements.

  • Invoicing: Work will commence only upon the clearance of the agreed-upon initial deposit or retainer as outlined in your project proposal. Subsequent invoices must be paid within the terms specified on the invoice to prevent pauses in development.

4. Strict No-Refund Policy Our business model is based on the allocation of highly specialized engineering time and resources.

  • Non-Refundable Engineering Time: Once engineering, consulting, or development work has been executed, the time and resources cannot be recovered. Therefore, we do not offer refunds for work that has already been completed. * Milestone Acceptance: Projects are billed and delivered in milestones. Payment of a milestone invoice constitutes acceptance of the work completed up to that point.

  • Cancellation: Either party may terminate the project with written notice. In the event of termination, the Client is responsible for paying for all engineering hours logged and work completed up to the exact date of cancellation. Any prepaid amounts exceeding the work completed will be reconciled, but no past completed work will be refunded.

5. Intellectual Property & Code Ownership AceBuddy operates on a "Client-First IP" model. Upon the full and final settlement of all outstanding invoices related to a project or milestone, 100% of the Intellectual Property (IP), source code, and architectural assets for that specific work are transferred to the Client. AceBuddy retains no ownership over your proprietary business logic or paid deliverables.

6. Limitation of Liability AceBuddy delivers software based on the specifications provided by the Client. We are not liable for incidental, consequential, or indirect damages, including lost profits or business interruptions, arising from the use or inability to use the software delivered.
